These Terms of Use ("Terms") govern your access to and use of the website of J-RUS, Inc. ("J-RUS," "we," "us," or "our"). By accessing this site or submitting an inquiry through it, you agree to these Terms. If you do not agree, please do not use the site.

Who may use this site

This site is intended for businesses and for individuals who are at least 18 years old and able to form a binding contract. It is directed to a business audience — licensed dealers, wholesalers, and industry partners — and is not intended for consumer retail transactions.

No offer, and no warranty as to inventory or pricing

Information on this site, including any description of vehicles, inventory, volumes, transaction history, buyer networks, geographic coverage, or capabilities, is provided for general informational purposes only. It does not constitute an offer, a quotation, a commitment to buy or sell, or a warranty of availability, condition, price, or terms. Vehicle availability and pricing change continuously. Any transaction between you and J-RUS is governed solely by the separate written agreement, purchase order, invoice, or bill of sale executed for that transaction, which controls over anything stated on this site.

Submissions and inquiries

When you submit an inquiry, you agree that the information you provide is accurate and that you are authorized to provide it, including any phone number you supply. Submitting an inquiry does not create any agency, partnership, joint venture, employment, or exclusive relationship between you and J-RUS, and does not obligate either party to enter into any transaction. Our handling of information you submit is described in our Privacy Policy.

Acceptable use

You agree not to: use the site for any unlawful purpose; submit false, misleading, or fraudulent information; attempt to gain unauthorized access to the site or its systems; interfere with or disrupt the site's operation or security; use automated means to scrape, harvest, or collect information from the site; or use the site to transmit unsolicited commercial messages, malware, or harmful code.

The site and its contents — including text, graphics, logos, photographs, video, layout, and design — are owned by J-RUS or its licensors and are protected by United States and international intellectual property laws. The J-RUS name and logo are marks of J-RUS, Inc. You may view and print pages for your own internal business use. The site may link to or embed third-party websites and content, including video platforms. We do not control and are not responsible for third-party content, products, services, or privacy practices, and a link or embed does not imply our endorsement. Your use of third-party services is governed by their terms.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, J-RUS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THIS SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to indemnify and hold harmless J-RUS, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your misuse of the site, your violation of these Terms, or your violation of any law or the rights of a third party.

Governing law and venue

These Terms and any dispute arising out of or relating to them or to this site are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any such dispute is the state or federal courts located in Macomb County, Michigan, and you consent to the personal jurisdiction of those courts.

Changes to the site and to these Terms

We may modify, suspend, or discontinue any part of the site at any time without notice. We may also revise these Terms from time to time; when we do, we will update the effective date above. Your continued use of the site after changes are posted constitutes acceptance of the revised Terms.

Severability and entire agreement

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, constitute the entire agreement between you and J-RUS regarding your use of this site, and do not modify any separate written agreement governing a specific transaction.
